— Agreement

These Terms of Service ("Terms") govern your use of tenkventures.app and any related marketing pages (the "Site"). The Site is operated by Ten K Ventures, Inc. ("ten," "we," "us," "our"), a Delaware corporation at 1178 Broadway, 3rd Floor #1176, New York, NY 10001. By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

Each app we ship (for example, on the App Store or Google Play) has its own terms or end-user license agreement that governs use of that app. These Terms apply only to the Site.

— Eligibility

You must be at least 13 years old to use the Site. If you are between 13 and the age of majority where you live, you may use the Site only under the supervision of a parent or legal guardian who agrees to these Terms.

— Acceptable use

You agree not to:

• Use the Site in any way that violates applicable law.
• Probe, scan, or test the vulnerability of the Site or related infrastructure without our written permission.
• Attempt to gain unauthorized access to any part of the Site.
• Interfere with or disrupt the Site, including by sending automated traffic, scraping at unreasonable rates, or transmitting malware.
• Misrepresent your identity or impersonate any person or entity.

— Intellectual property

The Site, including all text, design, graphics, logos, and code, is owned by Ten K Ventures, Inc. or our licensors and is protected by U.S. and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to access and view the Site for your personal, non-commercial use. All other rights are reserved.

The "ten," "ten ventures," and "tenOS" names and marks are trademarks of Ten K Ventures, Inc. You may not use them without our prior written permission, except for fair, descriptive references.

— Submissions and feedback

If you send us ideas, suggestions, or feedback (by email or otherwise), you grant us a perpetual, irrevocable, worldwide, royalty-free license to use that feedback for any purpose, without obligation or compensation to you. Do not send us anything you consider confidential or proprietary unless we have a signed agreement covering it.

— Third-party services and links

The Site may link to third-party websites or services. We are not responsible for their content or practices. Your use of any third-party service is subject to its own terms.

— Disclaimers

THE SITE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SITE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

— Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TEN K VENTURES, INC. AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING FROM OR RELATED TO YOUR USE OF THE SITE. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THESE TERMS OR THE SITE WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS ($100). Some jurisdictions do not allow these limits, so they may not apply to you in full.

— Indemnification

You agree to indemnify, defend, and hold harmless Ten K Ventures, Inc. and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including reasonable attorneys' fees) arising from your use of the Site or your breach of these Terms.

— Termination

We may suspend or terminate your access to the Site at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Sections that by their nature should survive termination will survive.

— Governing law and disputes

These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws principles. Any dispute arising from or related to these Terms or the Site will be resolved exclusively in the state or federal courts located in New York County, New York, and you consent to the personal jurisdiction of those courts.

— Changes to these Terms

We may update these Terms from time to time. The "Last updated" date at the top of this page reflects the most recent revision. Continued use of the Site after a change means you accept the revised Terms.

— Miscellaneous

These Terms are the entire agreement between you and Ten K Ventures, Inc. regarding the Site and supersede any prior agreements on this subject. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms; we may assign them at any time.
